Domain Name Term & Conditions of registration

By requesting KNOWALL.CO.UK LIMITED of 24 The Coda Centre, 189 Munster Road,London SW6 6AW ("the Company") to register a domain name on your behalf you are entering in to a binding agreement with the Company on the terms set out below. For the purpose of this agreement the person, firm or corporation registering a domain name via Knowall is "the Registrant". The agreement is between the Company and the Registrant. Registrants who are individuals must be 18 years old or over.

1. The Company agrees to check the availability of the domain names requested and, if available, to register them with the relevant domain name registration authorities ("Authorities"). If any of the domain names requested are not available for registration, neither the Company nor the Registrant shall have any further obligation in relation to such name or names.

2. The Registrant agrees to pay to the Company in advance the sum quoted at the registration request stage, plus VAT, for each domain name to be registered by the Company. Registration is not effective until the registration fee has been paid and cleared into the account of the Company.

3. In the event that the Registrant does not pay in full the amount due under clause 2 above:

3.1 the Company shall not be obliged to transfer any of the registered domain names to the Registrant and may, entirely at its discretion, elect to retain, release or transfer to third parties any or all of such domain names; and

3.2 the Registrant shall nonetheless pay to the Company, on demand, the amount of £50 plus VAT for each domain name registered by the Company, in order to cover the expenses of the Company in carrying out the registrations.

4. Subject to payment of all registration fees in full, for a period of 12 months following the registration of any domain name , the Company will, free of charge, act as agent for the Registrant in liaising with the Authorities to carry out any required assignment of that domain name to third parties or any required transfer of that domain name to another name server.

5. The Company will, when payments become due to the Authorities make a renewal charge to maintain the registrations of the registered domain names that remain in the Registrant’s name with the Company. The amount of this charge will be as set by the Company's standard price list from time to time. In the event that the Registrant fails to pay such renewal charge within the payment period specified in the Company's invoice, the registration of the relevant domain names will lapse.6. In no circumstances shall the Company beliable to the Registrant for any special loss or any indirect or consequential loss of any nature (including without limitation any third party claims, economic loss or other loss of business, production, revenue, profit, goodwill or anticipated savings), whether arising in contract, tort, negligence, breach of statutory duty or otherwise, and whether or not the possibility of such loss arising on a particular breach of contract or duty has been brought to Knowall's attention at the time of making this Agreement. The Registrant acknowledges that Knowall's charges for providing its services under this Agreement have been calculated on the basis of its liability being limited under this clause.

7. Neither party will be liable to the other for any delay or default in the performance of its obligations due to any cause or circumstance beyond its reasonable control, including but not limited to any industrial dispute.

8. This Agreement shall be governed by English law and the parties irrevocably submit to the non-exclusive jurisdiction of the English Courts.
